Wave USA, Inc.

This is an agreement between Wave USA, Inc. (Company) and (Independent
Contractor) or (Rep). This agreement is made effective as of July 28, 2026.

In consideration of the mutual covenants of this Agreement, the parties hereby agree as follow:

Scope Of Duties: Rep will use its best efforts to promote Company's Services and those of its
partner, and to maximize the sale of the Services, in a professional manner within the Territory.
Rep has the structure and financial autonomy necessary to sell and promote the Services. Rep
will also provide reasonable efforts to the Company in its promotional activities within the
Territory such as trade shows, service presentations, sales calls and other activities relating to the
Company's Services. Rep will also provide after sale support to purchasers of Company's
Services, and will generally perform such sales and marketing related activities as are necessary
to promote the services and goodwill of the Company. Rep will devote adequate time and effort
to perform its obligations. Rep will neither advertise the Services outside the Territory nor solicit
sales from purchasers outside the Territory without the prior written consent of the Company. In
addition to these general requirements, Rep will:
• Conduct him/her/itself at all times in an ethical manner. Rep will provide
prospective clients and/or customers with accurate and complete information that is neither deceptive nor
misleading. Company will provide training to Rep on proper promotion of its Services. Rep will not
encourage any Client or Customer to request, recommend or otherwise order clinical laboratory tests or
prescriptions that are not otherwise medically necessary or in the best interests of the patient to be tested.
• Immediately report to Company any suspected violations of any federal laws, regulations, federal health care
program requirements, or Company's internal policies and procedures (which Company shall furnish to Rep in
written form and included within this agreement).
• At all times when interacting with Customers, or potential Customers of Company, identify him/her as a
Company representative who has been engaged to serve in a sales and marketing capacity.
• Not seek business from any individual who is a member of his/her/its immediate family or from any other
entity which Rep owns, controls, or with which Rep otherwise has a relationship that affords Rep control or
special influence with regard to the referral of clinical laboratory tests.
• Not make any payment or other transfer of value to any Customer or any other entity that orders testing
through Company or to any other health care practitioner in connection with the services provided by Rep under
the Agreement or otherwise in connection with the provision of clinical laboratory testing. Any questions about
whether a payment to a health care practitioner may violate this provision should be discussed with
Company's designated compliance personnel.

Compliance with Law: Independent Contractor: CONTRACTOR is an independent contractor and is not an employee, agent,
partner or joint venturer of/with Wave USA. CONTRACTOR has no authority to enter into contracts or
agreements on behalf Wave USA, except as authorized in writing by Wave USA. Wave USA shall determine
the nature of work to be done by the CONTRACTOR, but CONTRACTOR retains sole and absolute discretion
and judgment in the methods, techniques and procedures to be used. CONTRACTOR shall not be entitled to
receive any unemployment compensation, paid vacations, paid holidays, pension, profit sharing, or Social
Security.

a) After 3 months of working with Wave USA, Independent Contractor may advance to a manager level
and relocate to another territory, build a sales team and earn overrides over their team.
Wave USA, Inc. agrees to pay independent contractor a sales commission based on
agreement/territories. Agents will get pay based on qualified/approve sales. Agents sales are subject
to a 30 days chargeback.

Non-waiver: No waiver by any Party of any default by any other Party in the performance of any provision,
condition or requirement herein shall be deemed to be a waiver of, or in any manner release the other Parties
from, performance of any other provision, condition or requirement herein, nor shall such waiver be deemed to be
a waiver of, or in any manner a release of, the other Parties from future performance of the same provision,
condition or requirement. Any delay or omission of any Party to exercise any right hereunder shall not impair the
exercise of any such right, or any like right, accruing to it thereafter. No waiver of a right created by this
Agreement, by one Party shall constitute a waiver of such right by the other Parties, except as may otherwise be
required by law with respect to persons not Parties hereto. The failure of one Party to perform its obligations
hereunder shall not release any other Party from the performance of such obligations.

Confidentiality, Non-Disclosure, and Non-Solicitation:
For purposes of this Agreement, the following definition will apply: “Confidential Information” means any data
or information relating to the business of either the Company or Rep which is disclosed to, or known by, either the Company or Rep as a consequence of, or through, their relationship with one another (including information
conceived, discovered, originated or developed in whole or in part by either) and not generally known by the
public. Without limiting the generality of the foregoing, Confidential Information includes (without
limitation): (A) the sales records, profits and performance reports, pricing manuals, sales manuals, training
manuals, selling and pricing procedures and financing methods; (B) business plans and internal financial
statements and projections of the parties; and (C) any information identified as secret or confidential, or which,
from the circumstances in good faith and good conscience, ought to be treated as confidential, relating to the
business or affairs of the parties.

b)In addition, and without any intention of limiting the parties' other obligations under this Agreement in any
way, the parties will not reveal any nonpublic information concerning the business, services or the proprietary
products and processes of one another (particularly those under current development or improvement), except
as required by law . In that connection, the Rep will submit to the Company for review any proposed article,
paper or other discussion, explanation or description relating to the work done by the Rep for the Company
before such article, paper and/or other discussion are released or delivered to the public. The Company has the
right to disapprove and prohibit, or delete any parts of, such articles, papers, discussions, explanations or
descriptions that might disclose the Company's Confidential Information or otherwise be contrary to the
Company's business interests.

Code of Conduct
1. Agents are not allowed to incentivize potential clients/patients. Included but not limited
to handing out gift cards, money, or anything of value in exchange for taking a
survey or doing an enrollment. () (Initial)
2. Agents are not allowed to engage in any forceful or deceptive practices. Included but not
limited to misrepresenting the program and you are required to do this.

3. Agents are not allowed to hold/keep any devices that is provided by the company under any

4. After each submission based on GDRP compliance, agents are not allowed to keep any
information about a patient or customer and must permanently delete any record of it. () (Initial)

6. Agents cannot work on multiple campaigns simultaneously. () (Initial)

DRUG SCREEN AND BACKGROUND CHECK CONSENT AND RELEASE FORM

DRUG SCREEN

I hereby give my consent and express my willingness to undergo a drug test if requested by
Wave US, Inc. I also consent to the release of the results of the test to Wave USA, Inc.
I am also consenting to the collection of a urine sample from me by my Wave USA
Inc. it's affiliate partners and any physician or testing representative, which is sent to a laboratory selected
by Wave USA, Inc. I understand that this laboratory conducts screening tests on this urine sample
to detect the presence of illegal narcotics, including marijuana and other drugs, as well as signs of
abuse of legal drugs. I understand that all samples are subject to careful testing procedures
with mandatory confirmation of any preliminary positive results.

I understand that a positive result on a drug test can result in revocation of my contract with
Wave USA, Inc. I agree to release and discharge Wave USA, Inc. and any of its designated
medical personnel, agents, or authorized testing laboratories from any claims or
potential liability arising out of or related to any physical or medical examination or the results
of such examinations or tests that I have been asked to undergo by Wave USA, Inc.

BACKGROUND CHECK

I authorize Wave USA, Inc. to conduct a background check that will include a criminal
background investigation, and also verification of my job qualifications, employment history,
academic credentials, licenses, professional designations, and driving record if I drive on Company
business. I understand that the potential of contracting with Wave USA, Inc. is contingent
upon a satisfactory background check. In addition, misrepresentations and/or omission of any
facts on the resume are sufficient cause for summary dismissal when it is discovered.

In exchange for Wave USA Inc's consideration of my application to act as
an Independent Contractor for Wave USA, Inc, I agree not to file or pursue any
complaints, claims, or legal actions of any kind against any organization or individual that provides
work-related information about me to Wave USA, Inc. or its agents in accordance with the terms
and intent of this release. I also agree not to file or pursue any complaints, claims, or legal actions
against Wave USA, Inc. or any of its employees, representatives, affiliates, or agents arising out
of their efforts to obtain work-related information about me.
